We, or our licensors and the members of the Paytrium group, own all intellectual property rights in the Site and in all material published on it, including text, graphics, logos, images, layout, design, look and feel, software and code. These works are protected by intellectual property laws and treaties around the world. All such rights are reserved.

We may determine, in our discretion, whether there has been a breach of this acceptable use provision. Where a breach has occurred, we may take such action as we consider appropriate, including withdrawing your right to use the Site, taking legal proceedings against you, and disclosing relevant information to law enforcement authorities.
8. Material you submit to the Site
Where the Site allows you to submit information, for example through a contact or enquiry form, you must ensure that any information you submit is accurate, lawful and not misleading, and that you have the right to provide it. You must not submit any material that infringes the rights of any third party or that is confidential to another person without the right to disclose it.
Any material you submit will be treated as non-confidential and non-proprietary, except for personal data, which we handle in accordance with our Privacy Policy. To the extent that any such material is protected by intellectual property rights, you grant us a perpetual, worldwide, royalty-free, non-exclusive licence to use, store, copy and disclose that material for the purpose of operating the Site and responding to your communication. We have the right to remove any material you submit if, in our opinion, it does not comply with these Terms.
9. Links to third party sites and resources
Where the Site contains links to other sites and resources provided by third parties, these links are provided for your information and convenience only. We have no control over the contents of those sites or resources, and such links do not imply any endorsement by us of the linked site or its content. We accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of any third party site is subject to the terms and policies of that third party.
10. Our liability
Nothing in these Terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot be excluded or limited under applicable law.
The Site and all content on it are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all conditions, warranties, representations and other terms that might otherwise be implied by statute, common law or otherwise, including any implied terms as to accuracy, satisfactory quality, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, we will not be liable to any user for any loss or damage, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, the Site, or use of or reliance on any content on the Site. In particular, we will not be liable for:
- loss of profits, sales, business or revenue;
- business interruption;
- loss of anticipated savings;
- loss of business opportunity, goodwill or reputation;
- loss of or corruption to data or information; or
- any indirect or consequential loss or damage.
We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack or other technologically harmful material that may infect your computer equipment, programs, data or other proprietary material due to your use of the Site or your downloading of any content on it, or on any website linked to it.
Subject to the first paragraph of this clause, our total aggregate liability to you arising under or in connection with these Terms or your use of the Site, whether in contract, tort or otherwise, is limited to one hundred pounds sterling (GBP 100). If you are a consumer, the exclusions and limitations in this clause apply only to the extent permitted by law and do not affect your statutory rights. Please see clause 16.
11. Indemnity
If you are not a consumer, you agree to indemnify us and the members of the Paytrium group against all liabilities, costs, expenses, damages and losses (including reasonable legal costs) suffered or incurred by us arising out of or in connection with your breach of these Terms or your unlawful or unauthorised use of the Site.
12. Privacy and cookies
Your use of the Site is also governed by our Privacy Policy, which explains how we collect and use personal data and how we use cookies and similar technologies. By using the Site, you acknowledge that you have read the Privacy Policy. The Privacy Policy is incorporated into and forms part of these Terms.
13. International use and access from outside the United Kingdom
The Site is operated and controlled by us from the United Kingdom. We make no representation that the Site or its content is appropriate, lawful or available for use in other locations. If you access the Site from outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws to the extent they apply to you. The Site is not directed at, or intended for use by, any person in any jurisdiction where, by reason of that person’s nationality, residence or otherwise, the publication or availability of the Site or any access to it is prohibited or restricted.
14. Events outside our control
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations in connection with the Site that is caused by any act or event beyond our reasonable control, including failure of public or private telecommunications networks, internet outages, power failures, acts of government, and other events of force majeure.
15. General
Entire agreement. These Terms, together with the documents referred to in them, constitute the entire agreement between you and us in relation to your use of the Site and supersede any previous arrangement, understanding or agreement between us relating to that subject matter.
Severability. If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be deemed modified to the minimum extent necessary, or, if necessary, severed, and the remaining provisions will continue in full force and effect.
No waiver. If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you, and it will not mean that you do not have to comply with those obligations.
Assignment. We may transfer our rights and obligations under these Terms to another organisation, including another member of the Paytrium group. You may not transfer any of your rights or obligations under these Terms to anyone else without our prior written consent.
Third party rights. These Terms are between you and us. No other person has any right to enforce any of these Terms, whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise, except that members of the Paytrium group may enforce any provision of these Terms that is expressed to be for their benefit.
16. Consumers
If you are using the Site as a consumer, that is, for purposes wholly or mainly outside your trade, business, craft or profession, nothing in these Terms affects your statutory rights that cannot be excluded or limited by agreement, including, where applicable, your rights under the Consumer Rights Act 2015 and other consumer protection legislation. Where there is any conflict between these Terms and your mandatory statutory rights, your statutory rights prevail.
17. Governing law and jurisdiction
These Terms, their subject matter and their formation, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or your use of the Site, are governed by and construed in accordance with the law of England and Wales.
If you are not a consumer, you and we agree that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
If you are a consumer, you and we agree that the courts of England and Wales have jurisdiction, except that if you are a consumer resident in the European Union, or in another jurisdiction that provides mandatory local protections, you may also benefit from any mandatory provisions of the law of the country in which you are resident, and you may be able to bring proceedings in your local courts. Nothing in these Terms, including the choice of English law, deprives you of the protection afforded to you by provisions of local law that cannot be derogated from by agreement.
